CLINIKIT SOFTWARE LICENSE AGREEMENT

This Software License Agreement ("Agreement") is entered into by and between Clinikit S.A.R.L., a company incorporated under the laws of Lebanon ("Clinikit"), and the user ("Licensee") who is granted access to the CliniKit Platform as a subscriber, administrator, or authorized user.

By using or accessing the CliniKit Platform and Services, Licensee agrees to be bound by the terms of this License.

1. LICENSE GRANT

Clinikit hereby grants the Licensee a limited, non-exclusive, non-transferable, revocable license to access and use the CliniKit cloud-based software platform (the "Software") solely for the internal clinical operations of the Licensee’s medical practice, subject to:

• Payment of applicable subscription fees
• Acceptance of CliniKit’s Terms of Use
• Compliance with applicable laws and regulations

2. RESTRICTIONS

The Licensee shall not, directly or indirectly:

• Decompile, reverse engineer, disassemble, or access the source code of the Software
• Modify, copy, distribute, sublicense, lease, or resell the Software or any part thereof
• Host, mirror, or replicate the Software outside CliniKit’s infrastructure
• Use the Software for purposes other than those explicitly permitted herein
• Allow unauthorized third-party access to the Software

3. INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Software, its underlying code, features, designs, and documentation are and shall remain the exclusive property of Clinikit. Nothing in this Agreement shall be construed to grant Licensee ownership rights of any kind.

4. DATA AND PRIVACY

Clinikit does not claim ownership of the data uploaded by the Licensee. However, the Licensee grants Clinikit the right to host, process, and back up this data solely for the purposes of providing the Services.

Licensee remains solely responsible for ensuring that its use of the Software and handling of patient data complies with all applicable laws and regulations, including those related to medical record confidentiality, patient consent, and cross-border data transfer restrictions where applicable.

5. TERM AND TERMINATION

This License is effective until terminated.

• Licensee may terminate this Agreement at any time by ceasing use of the Software
• Clinikit may terminate the License upon:
  • Violation of any terms by Licensee
  • Expiration or cancellation of the subscription
  • Legal requirement or breach of law by Licensee

Upon termination, all rights to access and use the Software shall cease, and Clinikit may delete or restrict access to stored data unless otherwise provided in a separate agreement.

6. WARRANTY DISCLAIMER

THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. CLINIKIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND CONTINUOUS AVAILABILITY.

7. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, CLINIKIT’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS LICENSE SHALL NOT EXCEED USD 500.

CLINIKIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA OR PROFITS.

8. GOVERNING LAW AND JURISDICTION

This License Agreement shall be governed by and construed in accordance with the laws of the Republic of Lebanon, without regard to its conflict of law principles.

Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Beirut, Lebanon, and both parties hereby submit to the jurisdiction of such courts.

Nothing in this clause shall prevent CliniKit from seeking injunctive or equitable relief in any jurisdiction, if necessary, to protect its intellectual property or confidential information.

9. ENTIRE AGREEMENT

This License, along with CliniKit’s Terms of Use and Privacy Policy, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior or contemporaneous agreements.
